Terms of Service

Welcome to Data Syndicate. These Terms of Service (“Agreement”) govern your access to and use of products and services provided by Arch Data Solutions, LLC dba Data Syndicate (“Data Syndicate,” “Company,” “we,” “us,” or “our”).
By accessing, purchasing, subscribing to, downloading, or using any of our products or services, you (“Buyer,” “Client,” “User,” or “you”) acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.
ARTICLE I – Definitions
Data Syndicate:
Arch Data Solutions, LLC dba Data Syndicate.
Buyer / Client / User:
Any individual or entity purchasing, accessing, or using our products or services.
Data:
Any public record information, lead information, contact information, skip traced data, analytics, reports, exports, API responses, database access, or related information provided by Data Syndicate.
License Term:
The agreed-upon duration of access to purchased products or services.
Products and Services:
All Data, software, APIs, databases, portals, downloads, exports, systems, websites, enrichment services, analytics, and related offerings provided by Data Syndicate.
License Activation:
The earlier of:
-
First Data delivery,
-
Account provisioning,
-
Database or portal access,
-
API access,
-
Download availability,
-
Or any use of the services by Buyer.
ARTICLE II – License Grant & Acceptable Use
License Grant
Data Syndicate grants Buyer a limited, revocable, non-exclusive, non-transferable license to access and use the Products and Services solely for Buyer’s own internal business purposes during the active License Term.
No ownership rights are transferred to Buyer.
Acceptable Use
Buyer agrees:
-
To comply with all applicable federal, state, and local laws and regulations;
-
Not to share, redistribute, sublicense, sell, lease, publish, or commercially exploit the Data or services;
-
Not to use the services for unlawful, abusive, fraudulent, deceptive, or harassing purposes;
-
Not to violate privacy rights or third-party rights;
-
Not to reverse engineer, scrape, copy, reproduce, or replicate our systems, databases, methodologies, or processes;
-
Not to use the services in violation of TCPA, CAN-SPAM, DNC regulations, privacy laws, or other marketing laws.
Buyer is solely responsible for all marketing activity, compliance obligations, and outreach practices conducted using the Data.
Audit & Enforcement
We reserve the right to investigate suspected violations of this Agreement and audit usage where reasonably necessary to protect our systems, intellectual property, or business interests.
Violations may result in:
-
Immediate suspension or termination,
-
Revocation of access,
-
Legal action,
-
And forfeiture of all fees paid without refund.
ARTICLE III – Intellectual Property
All Products and Services, including but not limited to:
-
databases,
-
lead compilations,
-
filtering systems,
-
scraping methodologies,
-
enrichment systems,
-
software,
-
APIs,
-
branding,
-
logos,
-
website content,
-
and proprietary workflows,
remain the exclusive property of Data Syndicate and are protected under intellectual property laws.
Buyer may not copy, reproduce, modify, distribute, or create derivative works from our Products or Services without prior written consent.
ARTICLE IV – Payments, Billing, License Activation, & Refund Policy
Pricing & Billing
Pricing may change at any time for future purchases but will not affect active licenses already purchased.
Accepted payment methods may include:

Credit/debit card,
-
ACH/direct debit,
-
Financing providers,
-
Or other approved payment methods.
Buyer authorizes Data Syndicate and its payment processors to charge all applicable fees associated with purchased services.
License Activation
A license becomes activated immediately upon the earlier of:
-
First Data delivery,
-
Account creation,
-
Portal/database/API access,
-
Download access,
-
Or any use of the services.
Non-Refundable Services
Due to the proprietary and immediately consumable nature of our:
-
Data collection,
-
scraping,
-
verification,
-
filtering,
-
enrichment,
-
database architecture,
-
and delivery systems,
all sales become final after License Activation.
Buyer acknowledges that:
-
Data may be viewed, downloaded, copied, exported, or utilized immediately upon delivery or account access;
-
The value of the services derives from proprietary systems and methodologies that cannot be returned once disclosed;
-
Variations in lead volume, data freshness, data completeness, response rates, marketing performance, conversion rates, profitability, county reporting activity, or investment outcomes do not constitute grounds for refunds, reversals, disputes, or chargebacks.
Refund Eligibility
Refund requests are only eligible if ALL of the following conditions are met:

No License Activation has occurred;
-
No Data has been delivered;
-
No account or portal access has been granted;
-
No downloads or exports have occurred.
Any refunds outside of these conditions are solely at the Company’s discretion.
Chargebacks & Payment Disputes
Buyer agrees not to initiate chargebacks or payment disputes for issues expressly disclosed within this Agreement, including but not limited to:
-
Lead volume fluctuations,
-
County delays,
-
Duplicate filings,
-
Marketing performance,
-
Public record inaccuracies,
-
Data freshness concerns,
-
Response rates,
-
Or profitability concerns.
If Buyer initiates a chargeback or payment dispute in violation of this Agreement, Data Syndicate reserves the right to:
-
Suspend or terminate all services,
-
Revoke license access,
-
Submit delivery records, access logs, downloads, communications, and Agreement acceptance records as evidence of fulfillment,
-
Recover collections costs, arbitration costs, attorney’s fees, and administrative expenses.
ARTICLE V – Data Disclaimer & No Warranties
Public Record Nature of Data
Buyer acknowledges that the Data is derived from third-party public records and external sources that may contain:
-
delays,
-
inaccuracies,
-
omissions,
-
duplicates,
-
clerical errors,
-
outdated information,
-
amended filings,
-
incomplete information,
-
or missing records outside of our control.
County reporting practices, publication schedules, accessibility, and record availability may change at any time without notice.
No Guarantees or Warranties
ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATA SYNDICATE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Merchantability,
-
Fitness for a particular purpose,
-
Accuracy,
-
Completeness,
-
Freshness,
-
Deliverability,
-
Non-infringement,
-
Availability,
-
Marketing performance,
-
Conversion rates,
-
Response rates,
-
Or profitability.
We do not guarantee:
-
Specific lead volume,
-
Exclusive access to records,
-
Specific marketing results,
-
Specific ROI,
-
Timing of county updates,
-
Phone/email/address accuracy,
-
Or Buyer profitability.
Buyer assumes all risk associated with use of the services.
Buyer Verification Responsibility
Buyer is solely responsible for independently verifying all Data before:
-
Marketing,
-
Solicitation,
-
Outreach,
-
Legal reliance,
-
Acquisitions,
-
Investment decisions,
-
Or regulatory compliance use.
ARTICLE VI – Privacy, Compliance, & Marketing Laws
By using our Products and Services, Buyer agrees to our Privacy Policy.
Buyer acknowledges that:

Marketing consent is not a condition of purchase;
-
Buyer is solely responsible for ensuring compliance with all applicable laws and regulations;
-
Data Syndicate does not provide legal advice regarding marketing compliance.
Buyer assumes full responsibility for compliance with:
-
TCPA,
-
CAN-SPAM,
-
DNC regulations,
-
State privacy laws,
-
Licensing requirements,
-
And all other applicable laws.
Data Syndicate disclaims all liability arising from Buyer’s marketing activities or legal compliance failures.
ARTICLE VII – Termination & Account Management
Company Termination Rights
We may suspend or terminate access immediately for:
-
Violations of this Agreement,
-
Suspected abuse,
-
Fraudulent activity,
-
Unauthorized sharing,
-
Chargebacks,
-
Non-payment,
-
Or legal/compliance concerns.
No refunds will be provided for terminated accounts.
Buyer Cancellation
Buyer may request cancellation by contacting:

Cancellation does not entitle Buyer to a refund except as expressly provided within this Agreement.
Account Pause Policy
Pause eligibility:
-
Quarterly Licenses: No pauses permitted
-
Semi-Annual Licenses: One pause up to 30 days
-
Annual Licenses: Two pauses up to 30 days each
Paused licenses automatically resume after the approved pause duration.
ARTICLE VIII – Third-Party Services
Data Syndicate may reference or integrate third-party services, platforms, financing providers, or software.
We are not responsible for:
-
Third-party uptime,
-
Financing decisions,
-
Service interruptions,
-
Policies,
-
Or third-party actions.
Buyer is responsible for reviewing all third-party agreements and policies.
ARTICLE IX – Indemnification & Limitation of Liability
Indemnification
Buyer agrees to defend, indemnify, and hold harmless Data Syndicate, its owners, employees, affiliates, contractors, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:

Buyer’s use of the services,
-
Marketing activities,
-
Legal violations,
-
Regulatory violations,
-
Or breach of this Agreement.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
-
OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY BUYER DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.
-
WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES.
-
BUYER AGREES THAT USE OF THE SERVICES IS ENTIRELY AT BUYER’S OWN RISK.
These limitations apply regardless of the legal theory asserted.
ARTICLE X – Dispute Resolution & Arbitration
Binding Arbitration
Any dispute, claim, or controversy arising from or relating to this Agreement, the Products and Services, refunds, payment disputes, data quality, marketing outcomes, or Buyer’s use of the services shall be resolved exclusively through binding arbitration in Sheridan County, Wyoming.
Waiver of Jury Trial & Class Actions
Buyer expressly waives:
-
Any right to a jury trial;
-
Any right to participate in class actions, representative actions, or consolidated claims.
Attorney’s Fees
The prevailing party in any arbitration or enforcement action shall be entitled to recover reasonable attorney’s fees, arbitration costs, collections costs, and related expenses.
ARTICLE XI – Miscellaneous
Severability
If any provision of this Agreement is determined unenforceable, the remaining provisions shall remain in full force and effect.
Assignment
Buyer may not assign or transfer this Agreement without prior written consent from Data Syndicate.
Survival
Provisions relating to:
-
Intellectual property,
-
Payments,
-
Refunds,
-
Indemnification,
-
Arbitration,
-
Limitations of liability,
-
And compliance obligations
shall survive termination of this Agreement.
Updates to Terms
We may modify this Agreement at any time.
Updated versions will be posted on our website, and continued use of the services constitutes acceptance of the revised Terms.
